Terms of Service

1. Acceptance of Terms

By accessing or using the Adrow services, websites, and software applications (collectively, the "Service"), you are agreeing to be bound by these Terms of Service, our Privacy Policy, our Data Processing Addendum (DPA), and our Acceptable Use Policy (AUP), all of which are incorporated by reference into this agreement (collectively, the "Terms"). If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

2. Description of Service

Adrow provides a software-as-a-service (SaaS) platform designed to help users manage and optimize their digital advertising campaigns across various third-party platforms. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We may modify, suspend, or discontinue the Service, in whole or in part, at any time and without notice.

3. Account Registration

To access the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account password and for any and all activities that occur under your account, whether or not you have authorized such activities. You agree to notify us immediately of any unauthorized use of your account.

4. Third-Party Platform Integration

The Service integrates with various third-party platforms, including but not limited to Meta (Facebook, Instagram), Google, TikTok, and Snapchat ("Third-Party Platforms"). You are solely responsible for complying with all terms, conditions, and policies of these Third-Party Platforms. Adrow is not responsible for the accuracy, availability, or reliability of any data obtained from these platforms via their APIs. Your relationship with any Third-Party Platform is independent of your relationship with Adrow. Adrow is not an agent of any Third-Party Platform.

5. Subscription & Billing

Access to the Service requires a paid subscription. Fees are billed in advance on a recurring basis as specified in your subscription plan. All payments are processed by our third-party payment processor, Stripe. We reserve the right to change our subscription fees upon 30 days' prior notice. Such notice may be provided at any time by posting the changes to the Adrow site or by email.

6. Refund Policy

All fees are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. No exceptions will be made.

7. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy (AUP), which is incorporated by reference into these Terms. Violation of the AUP may result in the immediate suspension or termination of your account.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Strion Inc. and its licensors. You retain all rights to the content you create or upload to the Service ("User Content"). However, you grant us a worldwide, royalty-free license to use, reproduce, modify, and distribute aggregated and de-identified data derived from your User Content for our business purposes, including service improvement and analytics.

9. AI & Machine Learning Features

The Service may include features that utilize artificial intelligence and machine learning ("AI Features"), including technology from third-party providers like Anthropic. You are solely responsible for the content, suggestions, or actions generated by these AI Features. You acknowledge that AI-generated output may not be accurate or complete. You grant Adrow a license to use your inputs and the resulting outputs from AI Features to improve the Service.

10. Data Portability & Export

You may export your core campaign data from the Service at any time. We provide tools within the Service to facilitate this process. However, we are not responsible for the storage or security of your data once it has been exported from our systems.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRION INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. UNDER NO CIRCUMSTANCES WILL STRION INC.'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE AMOUNTS YOU HAVE PAID TO STRION INC. FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

12. Indemnification

You agree to defend, indemnify, and hold harmless Strion Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

13. DMCA Procedure

We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the written information specified in the Digital Millennium Copyright Act (DMCA). Our designated copyright agent can be reached via the contact information at the end of these terms.

14. Service Availability

We will use commercially reasonable efforts to make the Service available 24/7, but we do not guarantee that the Service will be uninterrupted or error-free. We are not liable for any downtime caused by circumstances beyond our reasonable control, including but not limited to, the unavailability or failure of third-party APIs, internet service provider failures, or force majeure events.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease.

16. Arbitration & Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wilmington, Delaware before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

17. Class Action Waiver

YOU AND STRION INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Strion Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

18. Governing Law & Venue

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you and Strion Inc. agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Wilmington, Delaware.

19. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

20. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

21. Force Majeure

Strion Inc. shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, war, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials, or failures of third-party service providers (including cloud infrastructure providers and API providers).

22. General Provisions

These Terms constitute the entire agreement between you and Strion Inc. regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service. No agency, partnership, joint venture, or employment is created as a result of these Terms and you do not have any authority of any kind to bind Strion Inc. in any respect whatsoever.
